1. Acceptance of Terms
By accessing and using any products, services, or software provided by MultiverseX Technologies (hereinafter 'the Company'), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, including any additional guidelines and future modifications.
2. License Grant
- The Company grants you a limited, non-exclusive, non-transferable, revocable license to use our software and services for their intended purposes.
- Enterprise and commercial licenses may be subject to separate agreements and additional terms.
- You may not reverse engineer, decompile, or disassemble any software unless expressly permitted by applicable law.
- All licenses are subject to immediate termination if you violate any of these terms.
3. Multi-Platform Usage
Our software may be accessible across multiple platforms including web, mobile, desktop, and embedded systems. Your license may permit installation on multiple devices unless otherwise specified in your service agreement. Cross-platform synchronization features are provided 'as is' without warranty of uninterrupted service.
4. Disclaimer of Warranties
ALL SOFTWARE AND SERVICES ARE PROVIDED 'AS IS' WITHOUT WARRANTY OF ANY KIND. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.
5. Limitations of Liability
Consequential Damages
In no event shall the Company be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of the use of or inability to use our products.
Liability Cap
Our total cumulative liability shall not exceed the amount paid by you for the specific product or service giving rise to the claim.
Third-Party Integrations
We are not responsible for any third-party services, APIs, or platforms that integrate with our software.
Data Loss
You are solely responsible for maintaining backups of your data. We are not liable for any data loss or corruption.
6. Intellectual Property
All software, documentation, and content provided by the Company are protected by copyright, trademark, and other intellectual property laws. You acknowledge that the Company retains all rights, title, and interest in and to all intellectual property rights in the software and services.
7. Service Modifications
The Company reserves the right at any time to modify or discontinue, temporarily or permanently, any product or service with or without notice. We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the service.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.
